Our Constitution
At the formation of the company, a constitution was drawn up and every member should abide by the conditions therein. This acts as a form of contract between member and company.

The Old Town Theatre Company is managed by a general committee, which is selected by its own members at the Annual General Meeting. This is held annually and is open to all members to attend. The agenda will always include:

Chairman's report, the Treasurer's report and an artistic report on the year's productions.

Every member is encouraged to voice their opinions on productions an any matters concerning the company.

The general committee will meet on a regular basis to discuss the current and future productions as well as any other business. There is a membership fee which is reviewed each year at the company's AGM.

Objectives

  • The group will be known by the name of Old Town Theatre Company (OTTC)
  • OTTC aims to stage high quality productions, with a programme of drama that is varied, challenging and unique, for both audience and participants
  • OTTC wishes to preserve the tradition of a community drama group in Old Town

General Membership

General membership is open to all, although the Management Committee reserves the right to refuse or cancel membership.

An adult member will be 18 years of age or over (*), who has paid the due subscription fee for the current year.

A junior member will be aged under 18 years (*), who has paid the due subscription for the current year.

Unless a member objects, the names, addresses, telephone numbers and e-mail addresses will be held electronically, and used for internal administration only.

The Management Committee reserves the right to offer honorary (lifetime) membership.

Structure

OTTC will be managed by a Management Committee consisting of:

  • Chair
  • Vice-chair
  • Treasurer
  • Administrator(s) – as required
  • One adult member of OTTC (without portfolio)

to be elected at the Annual General Meeting (AGM). The Treasurer will be elected for a term of 2 years to ensure continuity. Three members of the Management Committee will be considered a quorum.

General members may be co-opted to serve on the Management Committee at any time should the need arise.

The Management Committee will take ownership of all OTTC-related activities (e.g. artistic direction, publicity, fund-raising, Arts Centre front-of-house organisation) although it may appoint Action Groups from the general membership to deal with specific issues.

Finance

OTTC aims to be independent and self-financing. Monies will be raised by such activities as:

  • Subscriptions
  • Sponsorship
  • Advertising
  • Acting Fees
  • Box office revenue

The Management Committee will appoint two auditors (excluding the Treasurer) to present the audited accounts to the AGM.

Should the group be dissolved, the adult membership will be generally and severally liable for any debts, while any assets will be distributed in a manner agreed by the membership at an Emergency General Meeting (EGM).

All subscriptions and fees will be reviewed at the AGM.

Meetings

The AGM will be held annually, the date to be set by the committee. The membership will be notified one month in advance. The Management Committee is empowered to call an Emergency General Meeting, giving four days notice to the membership. An EGM may also be initiated by the general membership, if over 20% of the general membership is in agreement to call such a meeting and deem it necessary.

Constitution

This constitution may only be altered at an AGM or EGM, with the agreement of the majority of the membership present at that meeting.
